  • Obtaining DIN (through using Form DIR-3) and PAN of the Director.
  • Checking the availability of the proposed name of the OPC, through Form INC-1.
  • Filing Application for OPC Incorporation (within Sixty day of name approval).

Today, there are two most prominent ways of registering an OPC in india, the latest way is using the SPICe system. This SPICe (Simplified Proforma for Incorporating Company Electronically) system offers Five facilities through a Single Application (in Form SPICe-32). These five facilities are available for the purposes of --- 1. name reservation, 2. new company incorporation, 3. allotment of DIN, and 4. allotment of PAN and TAN. This system is most suitable for registering all types of companies, when the required DINs are up to Three, and the Subscribers are up to Seven. The other way is the normal incorporation procedure which involves filing of Forms INC-2, DIR-12, and INC-22. Here it may be noted that, though the SPICe-32 allows reservation of company name, it is quite securing and preferable to use Form INC-1 for checking the name availability beforehand, and reserving the same, well before filing the SPICe-32. Under the SPICe system, the e-MOA and e-AOA are filed separately through Form INC-33 and Form INC-34, respectively. Here, it may also be mentioned that, for reserving a company name, the recently introduced RUN (Reserve Unique Name) web-service may also be used, if the authorized capital of a company (including an OPC) is less than Rs. Ten Lakh.
